General Terms and Conditions

Article 1 - Definitions
In these general terms and conditions, the following definitions apply:

  • Reflection Period: The period during which the consumer can exercise their right of withdrawal.

  • Consumer: A natural person acting outside the scope of their profession or business who enters into a distance contract with the professional.

  • Day: Calendar day.

  • Long-term Transaction: A distance contract for a series of products and/or services with delivery and/or purchase obligations spread over time.

  • Durable Data Carrier: Any medium allowing the consumer or professional to store personal information in a way that allows later consultation and reproduction of the stored information without alteration.

  • Right of Withdrawal: The consumer's right to withdraw from the distance contract during the reflection period.

  • Distance Contract: An agreement where, as part of a system organized by the professional for the distance sale of products and/or services, one or more remote communication techniques are exclusively used to conclude the agreement.

  • Remote Communication Technique: Means used to conclude a contract without the consumer and professional being in the same location at the same time.

  • General Terms and Conditions: The present general terms and conditions of the professional.

Article 2 - Identity of the Professional

Article 3 - Applicability
These general terms and conditions apply to all offers made by the professional, all distance contracts, and all orders made between the professional and the consumer.
Before concluding the distance contract, the text of these general terms and conditions will be made available to the consumer. If this is not reasonably possible, it will be indicated before the conclusion of the distance contract that the general terms and conditions can be consulted at the professional's premises, and they will be sent free of charge to the consumer as soon as possible upon request.
If the distance contract is concluded electronically, notwithstanding the previous paragraph, the text of these general terms and conditions may be made available to the consumer electronically in a way that can be easily stored by the consumer on a durable data carrier. If this is not reasonably possible, it will be indicated before the conclusion of the distance contract where the general terms and conditions can be consulted electronically.

Article 4 - The Offer
If an offer has a limited validity period or is subject to conditions, this will be explicitly stated in the offer.
The offer is non-binding. The professional reserves the right to modify and adapt the offer.
The offer includes a complete and accurate description of the products and/or services offered. The description is detailed enough to allow the consumer to evaluate the offer properly. If the professional uses images, these will accurately represent the products and/or services offered. Obvious mistakes or errors in the offer do not bind the professional.
All images, specifications, and data included in the offer are indicative and cannot be a reason for compensation or contract termination.
Product images are an accurate representation of the offered products, but the professional cannot guarantee that the displayed colors correspond exactly to the actual colors of the products.
Each offer contains information making it clear to the consumer what rights and obligations are associated with accepting the offer. This includes the price, excluding customs duties and VAT on imports, which are the responsibility of the customer. Shipping costs, how the contract will be concluded, the existence of a right of withdrawal, payment methods, delivery, and execution of the contract are also included, among other details.

Article 5 - The Agreement
Subject to the provisions of Article 4, the contract takes effect when the consumer accepts the offer and fulfills the conditions stated in it.
If the consumer has accepted the offer electronically, the professional immediately confirms receipt of the acceptance electronically. Until this confirmation is made, the consumer may cancel the agreement.
If the agreement is concluded electronically, the professional will take appropriate technical and organizational measures to protect the electronic transfer of data and provide a secure online environment.
The professional may investigate the consumer’s ability to meet their payment obligations and any relevant facts before concluding the contract. If the professional has good reason to refuse the agreement, they may reject an order or request, or set special conditions for execution, providing reasons for their decision.
The professional will provide the following information along with the product or service provided, either in writing or in a manner that allows the consumer to store it on a durable data carrier:

  • The address of the professional’s premises where the consumer can file complaints.

  • Conditions for exercising the right of withdrawal.

  • Information on guarantees and after-sales services.

Article 6 - Right of Withdrawal
When purchasing products, the consumer has the right to cancel the contract without providing a reason within a 14-day period. This period begins the day after the consumer or their representative receives the product.
During the reflection period, the consumer will handle the product and its packaging carefully. They may only open or use the product to the extent necessary to determine if they wish to keep it. If the consumer decides to exercise the right of withdrawal, they must return the product to the professional in its original condition and packaging, along with all delivered accessories.
If the consumer wishes to exercise the right of withdrawal, they must inform the professional within 14 days of receiving the product. This must be done via a written message or email. After notifying the professional, the consumer must return the product within another 14 days and provide proof of shipment.

Article 7 - Costs of Withdrawal
If the consumer exercises their right of withdrawal, the return shipping costs will be borne by the consumer.
If the consumer has already made a payment, the professional will refund the amount as soon as possible, but no later than 14 days after the withdrawal, provided the product has been received or proof of return is presented.

Article 8 - Exclusion of the Right of Withdrawal
The professional may exclude the right of withdrawal for the following products, as long as it is clearly stated in the offer or before the contract is concluded:

  • Products made according to the consumer's specifications.

  • Products that are clearly of a personal nature.

  • Products that cannot be returned due to their nature.

  • Products that spoil or age quickly.

  • Financial products subject to market fluctuations.

  • Newspapers, magazines, and certain media with broken seals.

Article 9 - Price
The prices of the products and/or services offered will not increase during the validity period mentioned in the offer, except for changes in VAT rates.
However, the professional may offer products or services subject to market fluctuations with variable prices. Such prices and their link to fluctuations will be clearly stated in the offer.
Price increases within three months of the agreement are only allowed if they result from legal provisions. Price increases after three months are only allowed if stipulated in the contract.

Article 10 - Compliance and Warranty
The professional guarantees that the products and/or services comply with the contract, the specifications stated in the offer, and legal or regulatory requirements.
Any defects or incorrect deliveries must be reported to the professional in writing within 14 days after delivery.
The professional’s warranty corresponds to the factory warranty period. However, the professional is not responsible for the product's suitability for each individual consumer's application.

Article 11 - Delivery and Performance
The professional will take great care in fulfilling orders. The delivery address is the one provided by the consumer.
The professional will execute accepted orders with due diligence, but no later than 30 days, unless a longer delivery period is agreed upon. If delivery is delayed, or if an order cannot be fully executed, the consumer will be informed within 30 days of ordering and can cancel the contract without charge.
In case of cancellation, the professional will refund the consumer’s payment as soon as possible, but no later than 14 days after the cancellation.

Article 12 - Duration of Transactions: Termination and Extension

  • Termination: The consumer can cancel an indefinite contract at any time with a maximum notice period of one month. For a fixed-term contract, cancellation can occur at the end of the term with a maximum notice period of one month.

  • Extension: Fixed-term contracts for regular provision of products or services cannot be extended automatically for a specific term unless explicitly agreed upon.

Article 13 - Payment
Unless otherwise agreed, amounts owed by the consumer must be paid within 7 business days following the start of the reflection period. For services, this period starts after the consumer receives confirmation of the agreement.
The consumer must immediately notify the professional of any inaccuracies in payment details provided.

Article 14 - Complaints Procedure
Complaints regarding the performance of the agreement must be submitted to the professional within 7 days of noticing the issue.
Complaints will be answered within 14 days of receipt. If more time is needed, the consumer will be notified of when to expect a detailed response.

Article 15 - Disputes
For agreements between the professional and the consumer to which these terms and conditions apply, Dutch law applies, even if the consumer resides abroad.
